Terms & Conditions - Your Ally

General Conditions

  • Client details held by Your Ally will remain confidential and never knowingly made available to third parties without express permission from the Client.

  • Your Ally agrees not to disclose, divulge, reveal, report or use, for any purpose, any confidential information concerning the business of the Client, which has been obtained, except as may be necessary or desirable to further the business interests of the Client. The Client may request a Confidentiality Agreement before the commencement of work if required.

  • Your Ally reserves the right to refuse work if deemed to be illegal or immoral.

  • Responsibility for the final inspection of the completed work lies with the Client. Errors should be notified within seven days of receipt. Errors or omissions generated by Your Ally will be corrected free of charge. All other corrections or additions will be charged as outlined below.

  • Completed work will be returned to the Client by email, first class post, or special delivery in accordance with the Client’s requirements.

  • All work will remain on file for one year after which time it will be deleted/destroyed unless specifically instructed otherwise by the Client.

Fees

  • Your Ally charges a standard hourly rate per hour or project as stated in a signed proposal or agreement, signed by both parties, unless otherwise determined.

  • There is no minimum of hours required (unless otherwise discussed).

  • All retainer packages are billed and must be paid in advance on acceptance of work (unless otherwise discussed).

  • Quotes for specific projects are based on information supplied by the Client. All quotes are valid for 30 days.

  • Your Ally reserves the right to submit a revised quotation should the Client’s original requirements alter both before the commencement of the work or during the assignment.

  • Additional expenses, i.e. stationery, printing, packing and postage, phone calls etc. incurred on behalf of the Client will be charged at cost and invoiced accordingly.

  • Your Ally reserves the right to increase prices with prior written notice to all existing Clients, except an increase in rate in accordance with the annual inflation rate in Curaçao.

Invoicing

  • All prices exclude OB, which will be charged at the current rate of 6%. Services are charged per hour or part thereof in1-minute increments. Our services are invoiced monthly and are payable within 14 days.

  • Failure to pay within 14 days will result in interest being charged at the late payment fee of 1.5% on outstanding balances.

  • Payments may be made by bank transfer via Vida , account number Your bank account number + name of account holder.

  • The Services to be provided by Your Ally are set out in the Agreement. The Client shall pay our Fees, as set out in the Agreement. Our fees are exclusive of OB which will be added where it is chargeable.

  • Retainer packages (starting at 10 hours per month) are paid upfront (unless otherwise discussed).

  • Unused retainer hours do not roll over to the next month (unless otherwise discussed).

  • Time incurred over the retainer hours is billed at the retainer package’s hourly rate, billed in 1-minute increments.

Unforeseen circumstances

  • In the event of unforeseen circumstances beyond our control, including (but not limited to) acts of God, public unrest, power outages, etc., and our services cannot be executed as agreed, we will offer an alternative. If the client does not accept our alternative, there will be no compensation. A 75% of the agreed service fee must be paid till further notice.

Liability

  • Your Ally, and or any of its employees, contractors, owners, or other affiliated parties will not be held liable for loss, damage, or delay of any client work due to any unforeseen circumstances or circumstances beyond our control, including (but not limited to) acts of God, public unrest, power outages, illness, family emergencies, and inability to contact the client. In the event of such loss, damage, or delay, we will make every effort to notify you immediately.

Termination

  • Your Ally and or the Client may terminate a contract for any reason by providing written notice 1 month prior to the termination date.

  • Any payments due following the termination date will remain payable.

  • Your Ally and or the Client reserve the right to terminate the contract early if there is a serious breach of these terms and conditions.
